GoEducate Consumer Terms of Use

Introduction

Welcome to the GoEducate platform (“Platform” or “Service”), provided by GoEducate Inc. (“GoEducate,” “we,” or “us”). By accessing or using our Platform, you agree to these Terms of Use (the “Terms”). These Terms form a binding agreement between you and GoEducate and govern all use of our Platform, products, and content. Please read these Terms carefully. If you do not agree to these Terms, you must discontinue use of the Platform immediately.

If any portion of this waiver provision is deemed unenforceable, the unenforceable portion will be severed, and the remaining provisions shall be enforced to the fullest extent permitted by law.

1. Eligibility

The Platform is available only to individuals who:

  • Are at least 13 years old, with parental or guardian consent if under 18.
  • Have not previously been suspended or removed from the Platform by GoEducate.

By using the Platform, you confirm that you meet these eligibility requirements and agree to abide by these Terms and all applicable laws and regulations.

Minor Protections and Parental Consent for Educational Institutions:

If the Platform is used in educational contexts involving minors, GoEducate requires that educational institutions secure parental or guardian consent for any students under 18. GoEducate disclaims responsibility for any legal claims arising from the failure to obtain such consent. Educational institutions and related users agree to assume responsibility for ensuring compliance with all applicable laws regarding minor protections.

Children's Privacy and COPPA Compliance:

GoEducate complies with the Children's Online Privacy Protection Act (“COPPA”) and other applicable laws and does not knowingly collect, use, or disclose personal information from children under the age of 13. By using the Platform, users affirm that they meet these eligibility requirements. If GoEducate becomes aware that it has inadvertently collected personal information from a child under 13 without verified parental consent, GoEducate will promptly delete such information in compliance with COPPA.

Responsibility of Educational Institutions:

Educational institutions bear full legal responsibility for ensuring compliance with all applicable laws, including the Children's Online Privacy Protection Act (“COPPA”), when using the Platform in connection with students under the age of 13. This includes obtaining and verifying parental or guardian consent for such minors before accessing the Platform.

GoEducate disclaims any liability for an institution's failure to secure or verify such consent and assumes no obligation to independently verify compliance. By using the Platform on behalf of students, institutions explicitly agree to:

  1. Indemnification: Indemnify, defend, and hold harmless GoEducate from any claims, liabilities, penalties, or legal actions arising from non-compliance with minor protection laws, including COPPA.
  2. Full Responsibility: Assume full responsibility for ensuring that all actions taken in connection with minors on the Platform comply with federal, state, and local laws governing minor protections and data privacy.

By accessing the Platform on behalf of students, institutions acknowledge and accept their obligations under these Terms and agree that GoEducate shall not be held responsible for any claims resulting from the institution's actions, omissions, or failure to comply with applicable laws.

2. Account Registration and Security

To access certain features, users must create an account. You are responsible for safeguarding your account credentials and any activities conducted through your account. GoEducate is not liable for any loss or damage arising from unauthorized access due to your failure to secure your account. GoEducate may, at its sole discretion, suspend or terminate accounts that violate security or other provisions of these Terms. It is your responsibility to promptly notify GoEducate if you become aware of any unauthorized access or security breach.

3. Geographic Limitation Clause

GoEducate's Platform and services are expressly intended for use by individuals residing within the United States of America. By accessing or using the Platform, users affirm that they are doing so within U.S. jurisdictions and that the Platform is designed to comply with U.S. laws and standards. GoEducate disclaims responsibility for the accuracy, applicability, or compliance of its services outside of the United States.

Disclaimer for International Users:

Users accessing the Platform from locations outside the United States acknowledge and agree that:

  1. Voluntary Assumption of Risk:
    Such access is at their own risk and initiative. Users are solely responsible for ensuring compliance with all applicable local laws, regulations, and standards in their respective jurisdictions.
  2. No Assurance of Accuracy or Functionality:
    GoEducate makes no representation or warranty that the Platform's services, content, or data are accurate, applicable, or functional outside the United States. Features, data, and services may vary or be unavailable in international jurisdictions.
  3. Data Privacy and Local Standards:
    GoEducate adheres to U.S. data privacy laws and standards. Users outside the United States are responsible for ensuring that their use of the Platform aligns with local data privacy requirements. GoEducate explicitly disclaims liability for discrepancies between U.S. and international privacy standards, data regulations, or practices.
  4. Limitation of Liability:
    GoEducate disclaims all liability for:
    • Inaccuracies or misinterpretations of regional data.
    • Variations in legal, educational, or employment standards outside U.S. jurisdictions.
    • Any claims, disputes, or damages arising from the use of the Platform in non-U.S. jurisdictions.
Acknowledgment:

By accessing the Platform outside the United States, users agree to these terms and acknowledge that GoEducate assumes no obligation to modify or tailor its services to meet non-U.S. legal or operational requirements.

4. Service Availability and Fees

GoEducate is currently free for consumer users, meaning no fees are charged for accessing core services on the Platform at this time. However, GoEducate reserves the right to introduce fees for certain features or enhanced services in the future.

Notice Requirement: In the event that paid features or services are introduced, users will receive a minimum of 30 days' advance notice via email or through a prominent notice on the Platform. Access to these paid features will only be provided upon user agreement to the specific terms and fees associated with that feature or service.

5. Proprietary Rights and Trademark Protection

The GoEducate Platform, including but not limited to GoResume, GoSurvey, CareerNav, and all associated content, trademarks, designs, and software, is the exclusive property of GoEducate and is protected by intellectual property laws. Users may not duplicate, modify, distribute, sell, lease, or create derivative works based on any part of the Platform or GoEducate's products without express written permission. Unauthorized use of GoEducate's intellectual property, including logos, trademarks, and product names, is strictly prohibited and may result in legal action.

6. Optional Features and Settings

6.1 Optional Features and Profile Visibility Disclaimer

The GoEducate Platform includes optional features, such as “Publish GoResume/Profile” and “Employers Can Find You,” which allow users to share their GoResume and profile with select third parties, including potential employers and program providers. These features are inactive by default and require the user's explicit activation to enable profile visibility.

6.2 Information Shared with Third Parties

By activating the profile-sharing features, users expressly consent to making specific information available to third parties, including but not limited to potential employers, educational institutions, and program providers, through the Talent Hub. The information shared may include, but is not limited to:

  • The user's GoResume, including all information voluntarily entered by the user, such as name, contact details (e.g., email address and phone number), professional summary, work history, educational background, certifications, and skills.
  • Profile details, such as banners, professional designations, and any additional data provided by the user within their profile.
  • Uploaded transcripts, licenses, or other documents supporting their professional or educational qualifications.
  • Any other professional information voluntarily provided by the user within their profile or GoResume.
Important Disclosures:
  1. Voluntary Submission: Users are solely responsible for the accuracy and appropriateness of the information entered into their GoResume and profile. Users should carefully review the content before activating profile-sharing features.
  2. Contact Information: Certain contact details, such as the user's email address and phone number, are inherently included in a published GoResume to enable third-party communications. Including a physical address is optional and not required for GoResume publication.
  3. Third-Party Usage: Once shared, GoEducate cannot control how third parties access, store, or use the information provided via the Talent Hub. Users are encouraged to exercise discretion in sharing sensitive or personal information. GoEducate disclaims responsibility for third-party actions, including misuse or unauthorized use of shared information.
  4. Deactivation: Users retain the ability to deactivate the profile-sharing features at any time, preventing further sharing of their information via the Talent Hub. However, GoEducate cannot guarantee the removal or retrieval of data already accessed, downloaded, or stored by third parties prior to deactivation.
6.3 Risk Disclaimer for Profile Sharing

Activating these features may increase exposure to third-party entities, and GoEducate does not control or assume responsibility for how third parties may use, store, or disclose the shared information. Users acknowledge and accept full responsibility for any risks associated with enabling profile-sharing features, including the possibility of unsolicited contact or misuse of their information by third parties. GoEducate expressly disclaims any liability for consequences arising from third-party interactions with user profiles.

6.4 User Control and Settings

Users retain the ability to manage their profile visibility settings within the Platform at any time. Deactivating the profile-sharing features will cease the sharing of the user's GoResume and profile through the Talent Hub. However, GoEducate cannot guarantee the withdrawal of information already accessed or stored by third parties prior to deactivation.

6.5 Terminology Clarification

The terms “Talent Exchange” and “Talent Hub” may be used interchangeably within the Platform. Both refer to the centralized hub where user profiles and GoResumes are made accessible to employers and authorized third parties when profile-sharing features are activated.

7. GoResume and Talent Hub/Exchange Disclaimer

7.1 Purpose and Limitation of GoResume

GoResume is a feature within the GoEducate Platform that allows users to create and publish a digital resume accessible to potential employers and program providers through the Talent Hub/Exchange. GoEducate provides GoResume as a tool for users to enhance their visibility to recruiters and increase professional opportunities, but makes no guarantees regarding employment outcomes.

No Guarantee of Employment or Placement: By using GoResume or participating in the Talent Hub/Exchange, users acknowledge and agree that GoEducate does not guarantee job offers, employment, internships, or any work placements as a result of utilizing these features. The Talent Hub/Exchange merely facilitates exposure to potential opportunities, and all hiring, selection, and placement decisions are made solely by third-party employers and providers with no involvement from GoEducate.

User Responsibility:

Users are solely responsible for the accuracy, completeness, and appropriateness of the information contained in their GoResume. GoEducate disclaims any liability for errors, omissions, or inaccuracies in user-submitted information that may affect employment outcomes or professional interactions.

Third-Party Control:

GoEducate does not control or influence third-party employers or program providers in the Talent Hub/Exchange. Users understand that GoEducate bears no responsibility for the actions, decisions, or responses of these third parties. By participating in the Talent Hub/Exchange, users assume full responsibility for interactions with third parties and agree to conduct their own due diligence regarding potential employment or program opportunities.

7.2 GoResume and Profile Publishing

Publishing a GoResume through the GoEducate Platform also makes the associated user profile visible to employers and other authorized entities in the Talent Hub/Exchange. A published GoResume inherently includes, but is not limited to, the user's:

  • Professional summary.
  • Work history.
  • Skills.
  • Education.
Email Visibility and Optional Information:

The GoResume includes the user's email address, which is always displayed to employers when the GoResume is published. Users may optionally provide additional information, such as phone numbers, physical addresses, and other details, at their discretion. Including these details is not mandatory, and users are strongly encouraged to carefully review their GoResume and profile content before publishing.

User Responsibility:

By publishing their GoResume, users acknowledge and accept that their profile will be accessible to employers within the GoEducate ecosystem. GoEducate disclaims liability for any misuse or unauthorized actions by third parties who access published profiles. Users agree to indemnify and hold GoEducate harmless from any claims, damages, or disputes arising from published profiles.

Deactivation:

Users can unpublish their GoResume or adjust visibility settings at any time; however, GoEducate cannot guarantee the removal of data already accessed or stored by employers prior to deactivation.

7.3 Quality and ATS Compatibility of GoResume

AI-Enhanced Resume Support:
GoEducate offers AI-enhanced resume tools within GoResume to assist users in creating resumes that are compatible with Applicant Tracking Systems (“ATS”). While GoEducate strives to provide high-quality, ATS-friendly resumes, users are solely responsible for the accuracy, completeness, and suitability of the information they provide. GoEducate disclaims any liability for errors, omissions, or inaccuracies that may impact the effectiveness of the resume with ATS systems.

ATS Compatibility Disclaimer:
GoEducate makes no guarantees that a resume created or enhanced through GoResume will be successfully parsed or ranked by every ATS. External factors, including employer-specific ATS configurations and user input errors, may affect compatibility. Users are advised to review and test their resumes independently and conduct their own research on ATS best practices. GoEducate shall not be held liable for any employment outcomes or lost opportunities resulting from ATS compatibility issues, whether arising from user error or internal technical limitations of the Platform.

7.4 User Conduct in Talent Hub and "Who's Hiring" Pages

Professionalism and Respect: GoEducate expects users to maintain professionalism, courtesy, and respect in all interactions with potential employers, program providers, and other third parties reached through the Talent Hub and "Who's Hiring" pages. Users are solely responsible for their conduct in all communications and engagement with these third parties.

Compliance with Company Policies: Users engaging with employers through GoEducate must comply with the hiring companies' guidelines, terms, and conditions. Any misuse of contact information or breach of third-party policies is solely the user's responsibility, and GoEducate disclaims any liability for actions or disputes arising from user conduct.

Prohibited Conduct: Users are prohibited from harassing, spamming, misleading, or behaving in any unprofessional manner in interactions initiated through the Talent Hub or "Who's Hiring" pages. Any inappropriate conduct or misuse of the Platform may result in immediate suspension or termination of the user's account at GoEducate's discretion.

Disclaimers on Third-Party Interactions: GoEducate disclaims any responsibility for the actions, responses, or communications of third-party employers and program providers. Users acknowledge that all interactions and communications initiated through the Talent Hub and "Who's Hiring" pages are at their own risk. GoEducate shall not be held liable for any outcomes, misunderstandings, or disputes arising from user interactions with third-party organizations.

7.5 Reporting Misconduct and False Listings

Reporting Employer Misconduct: Users who experience inappropriate conduct, harassment, false listings, or misleading communication from any employer or organization listed within the Talent Hub or "Who's Hiring" pages are encouraged to report such incidents via GoEducate's Report Abuse form. GoEducate takes all reports seriously and will investigate claims to uphold the integrity and safety of the Platform. However, GoEducate does not guarantee any specific outcome from these investigations and disclaims liability for actions taken by third-party organizations.

7.6 No Guarantee of Employment Through GoResume

Employment Disclaimer: GoEducate offers GoResume as a tool to enhance the quality and ATS compatibility of user resumes using AI-based features. However, creating or publishing a GoResume through the Platform does not guarantee employment, interviews, or any particular employment outcome. GoEducate provides no assurances that users will be contacted by employers or that GoResume will result in job offers. Users are responsible for conducting their own job search efforts and should use GoResume as one of several resources in their career strategy.

AI Disclaimer: Although GoResume utilizes AI to assist users in resume creation, GoEducate makes no guarantees about the success or effectiveness of AI-generated resumes in achieving employment. Users are responsible for the content they input and for reviewing and customizing their resumes to meet individual requirements and goals. GoEducate disclaims liability for any employment results, ATS compatibility issues, or other outcomes based on the use of AI features within GoResume.

8. GoSurvey Disclaimer and Data Use

GoSurvey is an AI-powered feature designed to provide educational and career recommendations based on user input. By completing a GoSurvey, users consent to the collection and analysis of their responses to generate tailored career insights and recommendations.

Use of Data: The information collected through GoSurvey is processed in accordance with GoEducate's Privacy Policy and is used to:

  • Provide personalized educational and career recommendations.
  • Improve GoEducate's tools and services through anonymized and aggregated data analysis.
  • Share insights with authorized partners, such as educational institutions and workforce agencies, to enhance career and educational alignment opportunities for users.

Sharing and Privacy: Individual GoSurvey results are shared only with the user and relevant authorized partners as outlined in the Privacy Policy. GoEducate does not publish individual GoSurvey responses publicly or use them for any unauthorized purpose. Users are encouraged to review the Privacy Policy for more detailed information on data handling practices related to GoSurvey.

9. Data Protection and Privacy

GoEducate is committed to protecting your privacy and complies with applicable data protection and privacy laws. By using the Platform, you consent to the collection, processing, and disclosure of your information as described in our Privacy Policy. Please refer to the Privacy Policy for further details on data practices.

10. Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is completely secure, and GoEducate does not guarantee the absolute security of your information. Users acknowledge and accept the inherent risks associated with online data transmission.

Additional Security Disclaimer: Users are encouraged to follow security best practices, including:

  • Using strong, unique passwords for their accounts.
  • Avoiding sharing login credentials with others.
  • Remaining vigilant against phishing attempts and other forms of unauthorized access.

GoEducate disclaims any liability for data loss, unauthorized access, or any related security incidents, including those arising from phishing attacks, impersonation, or misuse of account credentials by users.

11. Use Restrictions

Users agree to use the Platform responsibly and to refrain from any actions that:

  • Violate any applicable laws or regulations.
  • Compromise the security, integrity, or availability of the Platform.
  • Involve unauthorized access, modification, or interference with any part of the Service.
  • Misappropriate or infringe upon GoEducate's proprietary information or the proprietary information of others.

GoEducate reserves the right to monitor user activity to ensure compliance with these Terms and may take any appropriate action, including suspension or termination of access

12. Account Termination

GoEducate reserves the right to terminate or suspend accounts for violations of these Terms, including unauthorized use, breach of security, or any activities that compromise the integrity of the Platform. Termination may occur with or without notice, and GoEducate is not liable for any resulting loss of data or access. Users whose accounts are terminated may not re-enroll or attempt to use the Platform through other accounts.

13. Non-Commercial Use

The Platform is provided solely for personal, non-commercial use unless express written permission is granted by GoEducate. Users may not use information obtained from the Platform for any commercial or unauthorized purpose. Unauthorized commercial use, including data scraping or other systematic data extraction, is strictly prohibited.

14. Warranty Disclaimer

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GOEDUCATE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. USERS ACCESS THE PLATFORM AT THEIR OWN RISK, AND GOEDUCATE DOES NOT WARRANT THAT THE PLATFORM WILL BE SECURE, ERROR-FREE, OR AVAILABLE WITHOUT INTERRUPTION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOEDUCATE DISCLAIMS LIABILITY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF REVENUE, OR LOSS OF PROFITS ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM, EVEN IF GOEDUCATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXPANDED LIABILITY DISCLAIMER: USERS EXPRESSLY WAIVE ANY RIGHT TO CLAIM COMPENSATION OR DAMAGES FROM GOEDUCATE FOR LOSSES ARISING FROM UNAUTHORIZED ACCESS, SECURITY BREACHES, OR SYSTEM ERRORS BEYOND GOEDUCATE'S CONTROL. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OR NATURE OF THE CLAIM, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE

Notification and Remedial Measures for Data Breaches: In the event of a data breach involving personal information caused by GoEducate's actions or omissions, GoEducate will:

  • Notify affected users promptly upon discovering the breach.
  • Evaluate and recommend appropriate remedial measures to mitigate potential harm, in compliance with applicable laws and industry standards.

GoEducate's liability for such incidents shall remain limited as outlined in this section.

16. Indemnification

You agree to indemnify, defend, and hold harmless GoEducate, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, causes of action, liabilities, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys' fees and court costs, arising out of or related to:

  1. Your access to or use of the Platform;
  2. Your breach or violation of these Terms;
  3. Your infringement, misuse, or unauthorized use of any tools, content, intellectual property, or features provided by the Platform;
  4. Any interactions, disputes, or communications with third-party employers, organizations, or other users facilitated through the Platform; or
  5. Any unauthorized access, data mishap, or accidental disclosure of your personal information caused, in whole or in part, by your actions, omissions, or failure to comply with the security protocols of the Platform.
GoEducate's Liability for Data Mishaps

GoEducate will not indemnify or hold users harmless for any data mishap, breach, or accidental disclosure caused by its own negligence or failure to implement commercially reasonable security measures. However, GoEducate will:

  1. Notify affected users promptly upon discovering a breach, as required by applicable law.
  2. Evaluate appropriate remedial measures, including recommendations for mitigating potential harm, in accordance with applicable laws and industry standards.

Liability for data mishaps directly caused by GoEducate's gross negligence or willful misconduct shall be limited to actual, direct damages incurred by the affected users, subject to the limitations outlined in Section 14: Limitation of Liability. Users expressly waive claims for incidental, indirect, consequential, or punitive damages arising from such incidents unless explicitly required by applicable law.

Gross Negligence and Willful Misconduct

For the purposes of this clause, “gross negligence” refers to actions or omissions that represent a reckless disregard for a known risk of significant harm to users, while “willful misconduct” refers to intentional acts or omissions undertaken with the knowledge that harm to users is likely or certain to occur.

User Cooperation and Defense Control

GoEducate retains the exclusive right, at its sole discretion, to assume the defense and control of any matter otherwise subject to indemnification by you. In such an event, you agree to:

  1. Fully cooperate with GoEducate in the defense of such claims, including providing all necessary assistance, documentation, and information; and
  2. Refrain from taking actions or making statements that could compromise GoEducate's defense.

Failure to cooperate may result in a waiver of your indemnification rights and transfer full liability for the matter to you.

Survival of Obligations

Your indemnification obligations shall survive the termination or expiration of these Terms and your use of the Platform, ensuring GoEducate's continued protection against claims arising from your prior actions.

17. Ability to Accept Terms

By using the Platform, you affirm that you meet the eligibility requirements outlined in these Terms and have the legal capacity to agree to these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you are authorized to agree to these Terms on behalf of that organization.

User Acknowledgment Clause:  By accessing or using the GoEducate Platform, users explicitly acknowledge that they have read and agree to all limitations, including those on geographic availability, third-party integrations, data security, and liability waivers. Users further acknowledge that GoEducate operates as a provider of educational and career-oriented resources, and the Platform does not guarantee any outcomes, success, or specific opportunities

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, excluding its conflict of law principles. Any disputes or claims arising directly out of or related to these Terms, the Platform, or any services provided by GoEducate shall be resolved exclusively through binding arbitration, conducted in Round Rock, Texas, under the rules of the American Arbitration Association (“AAA”), specifically its Commercial Arbitration Rules.

Scope of Arbitration:
This arbitration provision applies to all claims, disputes, or controversies arising out of or directly related to these Terms, the Platform, or any services provided by GoEducate, including claims related to breach of contract, tort, statutory violations, and the enforceability of this provision.

Class Action Waiver:
Disputes must be resolved individually. You waive the right to participate in any class, collective, or representative action. Arbitration shall occur on an individual basis only, and claims cannot be consolidated or aggregated without GoEducate's explicit written consent.

Cost of Arbitration:
Arbitration costs shall initially be shared equally by both parties unless otherwise allocated by the arbitrator in accordance with applicable law or AAA rules. GoEducate's responsibility for arbitration costs shall not exceed $2,500 unless otherwise mandated by applicable law. Each party is responsible for its own legal fees and expenses unless expressly awarded by the arbitrator.

Venue and Format:
Arbitration shall be conducted in Round Rock, Texas, unless both parties mutually agree to a virtual format or written submissions.
Carve-Out for Injunctive Relief:

Notwithstanding the foregoing, GoEducate may seek injunctive or equitable relief in a court of competent jurisdiction to address:

  • Unauthorized use of its intellectual property.
  • Misappropriation or misuse of confidential information.
  • Fraudulent or malicious misuse of the Platform or related tools and services, including activities aimed at compromising Platform security or functionality.

Statute of Limitations:
Any claim or dispute subject to arbitration must be brought within one (1) year of the date the claim arose, unless otherwise required by law.
Finality of Decision:
The arbitrator's decision shall be binding and enforceable in any court with jurisdiction.

Severability:
If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in effect.

Acknowledgment:
By using the Platform, you agree to this arbitration clause, including the waiver of class actions, and consent to resolve disputes solely through individual arbitration.

19. Limitations on Modifications

GoEducate reserves the right to limit, restrict, or prevent modifications or withdrawals of certain user content, including but not limited to GoResume profiles or any shared content, even if the user account is terminated or deactivated. User data may be retained for compliance, lawful purposes, or to uphold GoEducate's operational integrity in accordance with applicable laws.
